IMPORTANT — READ CAREFULLY BEFORE USING THIS SOFTWARE
================================================================================

This license agreement ("License") governs the use of the MAGK Tech software
platform and all associated components, documentation, configuration files,
scripts, container definitions, and related materials (collectively, the
"Software") developed by or on behalf of MAGK, LLC ("Licensor").

By accessing, downloading, installing, copying, or otherwise using the Software,
you ("Licensee") agree to be bound by the terms of this License. If you do not
agree to these terms, you must not use the Software.

1. SCOPE AND COVERED COMPONENTS
================================================================================

1.1 COVERED COMPONENTS (Proprietary — MAGK Tech)

This License applies to all MAGK Tech proprietary components, including but not
limited to:

  (a) MAGK Admin UI — The React-based administration interface located in
      containers/opentakserver-ui/magk-admin-react/ and all subdirectories,
      including all applications (apps/), shared packages (packages/), build
      configurations, styles, and assets.

  (b) MAGK API Extensions — All server-side extensions, blueprints, models,
      services, middleware, utilities, and API registrations located in
      containers/opentakserver-core/ that are authored by or on behalf of
      Licensor, including but not limited to:
        - blueprints/ (auth, users, registration, groups, euds, events,
          video, certificates, and all MAGK-specific endpoints)
        - magk/ (MAGK extension modules)
        - models/ (MAGK data models)
        - services/ (MAGK service layer)
        - middleware/ (MAGK middleware)
        - api/ (MAGK API handlers)
        - All register_*.py files
        - All MAGK-specific configuration, migration, and initialization files

  (c) MAGK Node Communication — All protocols, firmware interfaces, and
      gateway software for MAGK hardware nodes (SD2, Domination, Network
      Nodes), including the Meshtastic Gateway located in
      containers/meshtastic-gateway/.

  (d) Infrastructure and Orchestration — All Docker Compose configurations,
      deployment scripts, monitoring configurations, nginx configurations,
      scaling configurations, SSL/certificate management scripts, backup
      scripts, and operational tooling located in compose/, config/, scripts/,
      and the project root, to the extent they are authored by or on behalf
      of Licensor.

  (e) Documentation — All MAGK-specific documentation, architecture documents,
      design specifications, and operational guides located in docs/ and
      .kiro/, to the extent they are authored by or on behalf of Licensor.

  (f) Monitoring Service — The custom monitoring service located in
      containers/monitoring-service/.

  (g) Branding and Design Assets — All MAGK Tech logos, icons, color schemes,
      design tokens, CSS variables, and visual identity elements.

1.2 EXCLUDED COMPONENTS (Third-Party Open Source)

This License does NOT apply to the following third-party open-source components,
which are governed by their own respective licenses:

  (a) OpenTAKServer — The upstream TAK server software obtained from
      github.com/brian7704/OpenTAKServer, governed by its own open-source
      license. The Licensor's fork at github.com/allipry/OpenTAKServer
      contains both upstream code (governed by the upstream license) and
      MAGK extensions (governed by this License).

  (b) OpenTAKServer-UI — The upstream Vue.js UI obtained from
      github.com/brian7704/OpenTAKServer-UI, governed by its own open-source
      license.

  (c) Third-Party Dependencies — All npm packages, Python packages, Docker
      base images, and other third-party libraries used by the Software,
      each governed by their respective licenses.

  (d) Open-Source Infrastructure — PostgreSQL, PostGIS, RabbitMQ, Nginx,
      OpenLDAP, MediaMTX, and other open-source services used by the
      platform, each governed by their respective licenses.

2. OWNERSHIP AND INTELLECTUAL PROPERTY
================================================================================

2.1 The Software and all Covered Components are the exclusive property of
    MAGK, LLC. All right, title, and interest in and to the
    Software, including all intellectual property rights, copyrights, trade
    secrets, trademarks, patents (if any), and any derivative works, are and
    shall remain the sole and exclusive property of Licensor.

2.2 No transfer of ownership, intellectual property rights, or any proprietary
    interest in the Software is granted under this License, whether expressly
    or by implication, estoppel, or otherwise.

2.3 All commercial value, revenue, and economic benefit derived from the
    Software belongs exclusively to Licensor.

2.4 The MAGK Tech name, logo, and all associated branding are trademarks of
    MAGK, LLC and may not be used without prior written consent.

3. LICENSE GRANT AND RESTRICTIONS
================================================================================

3.1 NO DEFAULT LICENSE GRANTED

    No license, right, or permission to use, copy, modify, distribute,
    sublicense, sell, or otherwise exploit the Software is granted by this
    License unless explicitly provided in a separate, written license
    agreement executed by an authorized representative of Licensor.

3.2 EXPLICIT LICENSE REQUIRED

    Any use of the Software for any purpose — including but not limited to
    personal use, commercial use, evaluation, testing, development, or
    deployment — requires a separate written license agreement from Licensor.

3.3 AUTHORIZED PERSONNEL

    Only individuals who are employees, contractors, or authorized agents of
    Licensor, or who have been granted an explicit written license, may access
    or use the Software.

4. PROHIBITED ACTIVITIES
================================================================================

The following activities are strictly prohibited without the prior written
consent of Licensor:

4.1 REVERSE ENGINEERING — Decompiling, disassembling, reverse engineering, or
    otherwise attempting to derive the source code, algorithms, data
    structures, or underlying ideas of the Software or any component thereof.

4.2 MODIFICATION — Modifying, adapting, translating, or creating derivative
    works based on the Software, except as explicitly authorized under a
    separate written license agreement.

4.3 DISTRIBUTION — Copying, distributing, publishing, sublicensing, selling,
    leasing, renting, lending, or otherwise transferring the Software or any
    portion thereof to any third party.

4.4 UNAUTHORIZED ACCESS — Accessing, using, or interacting with the Software,
    its services, APIs, databases, or network communications in any manner
    not explicitly authorized by Licensor, including but not limited to:
      (a) Circumventing, disabling, or interfering with any security features,
          access controls, authentication mechanisms, or license enforcement
          measures;
      (b) Exploiting vulnerabilities, bugs, or errors in the Software;
      (c) Intercepting, monitoring, or tampering with network communications
          between Software components;
      (d) Injecting, inserting, or executing unauthorized code within or
          alongside the Software;
      (e) Scraping, harvesting, or extracting data from the Software or its
          services without authorization.

4.5 HACKING AND SUBVERSION — Any attempt to hack, subvert, compromise, or
    otherwise undermine the security, integrity, availability, or intended
    operation of the Software, its services, or any system on which it
    operates.

4.6 COMPETITIVE USE — Using the Software, or any knowledge gained from it, to
    develop, enhance, or market any product or service that competes with the
    Software or any product or service offered by Licensor.

4.7 REMOVAL OF NOTICES — Removing, altering, or obscuring any copyright
    notices, trademark notices, license notices, or other proprietary
    markings contained in or on the Software.

5. CONFIDENTIALITY

5.1 The Software, including its source code, architecture, design, algorithms,
    and documentation, constitutes confidential and proprietary information
    of Licensor ("Confidential Information").

5.2 Licensee shall not disclose, publish, or otherwise make available any
    Confidential Information to any third party without the prior written
    consent of Licensor.

5.3 Licensee shall take all reasonable measures to protect the confidentiality
    of the Confidential Information, using at least the same degree of care
    as Licensee uses to protect its own confidential information.

6. DISCLAIMER OF WARRANTIES
================================================================================

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LICENSOR
DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR
FREE OF HARMFUL COMPONENTS.

7. LIMITATION OF LIABILITY

IN NO EVENT SHALL LICENSOR, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR
AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL,
OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA,
BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS
LICENSE OR THE USE OR INABILITY TO USE THE SOFTWARE, REGARDLESS OF THE THEORY
OF LIABILITY AND EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
DAMAGES.

8. INDEMNIFICATION

Licensee shall indemnify, defend, and hold harmless Licensor and its officers,
directors, employees, agents, and affiliates from and against any and all
claims, damages, losses, liabilities, costs, and expenses (including reasonable
attorneys' fees) arising out of or in connection with Licensee's use of the
Software or any breach of this License.

9. TERMINATION
================================================================================

9.1 This License is effective until terminated. Licensor may terminate this
    License at any time, with or without cause, upon written notice to
    Licensee.

9.2 This License will terminate automatically and immediately upon any breach
    of its terms by Licensee.

9.3 Upon termination, Licensee must immediately cease all use of the Software
    and destroy all copies of the Software in Licensee's possession or
    control.

9.4 Sections 2, 4, 5, 6, 7, 8, and 10 shall survive termination of this
    License.

10. GENERAL PROVISIONS
================================================================================

10.1 GOVERNING LAW — This License shall be governed by and construed in
     accordance with the laws of the State of Utah, without regard to its conflict of laws provisions.

10.2 DISPUTE RESOLUTION — Any dispute arising out of or in connection with
     this License shall be resolved through binding arbitration in accordance
     with the rules of the American Arbitration Association, unless Licensor
     elects to pursue remedies in a court of competent jurisdiction.

10.3 INJUNCTIVE RELIEF — Licensee acknowledges that any breach of Sections 4
     or 5 may cause irreparable harm to Licensor for which monetary damages
     would be inadequate. Licensor shall be entitled to seek injunctive or
     other equitable relief in addition to any other remedies available at
     law or in equity.

10.4 ENTIRE AGREEMENT — This License constitutes the entire agreement between
     the parties with respect to the subject matter hereof and supersedes all
     prior or contemporaneous understandings, agreements, or representations.

10.5 SEVERABILITY — If any provision of this License is held to be invalid or
     unenforceable, the remaining provisions shall continue in full force and
     effect.

10.6 NO WAIVER — The failure of Licensor to enforce any right or provision of
     this License shall not constitute a waiver of such right or provision.

10.7 ASSIGNMENT — Licensee may not assign or transfer this License or any
     rights hereunder without the prior written consent of Licensor. Licensor
     may assign this License without restriction.
